1. Introduction

Welcome to Legasus (“Company,” “we,” “us,” or “our”), an AI-powered law case management system that provides subscription-based software solutions (“Services”) to law firms and other legal professionals. By registering for an account or otherwise using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

Please read these Terms carefully. If you do not agree to all of the provisions contained herein, do not access or use our Services.

2. Eligibility and Account Registration

  1. Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services.
  2. Registration: You are required to create an account on our website and provide accurate, current, and complete information as prompted by the registration form.
  3. Account Security: You are responsible for safeguarding your login credentials. You agree not to share your credentials with any unauthorized party and to immediately notify us of any suspected unauthorized use of your account.

3. Description of Services

  1. Case Management: Legasus provides a platform that enables law firms and legal professionals to store, organize, and manage case-related information.
  2. AI Assistance: Our AI features may assist with various legal practice tasks, such as document generation or summarization. Important: Legasus does not offer legal advice or replace professional judgment, and you remain fully responsible for verifying any AI-generated output.
  3. Confidentiality: Although we implement robust security measures, you acknowledge that data shared within Legasus may still carry inherent risks. It is your responsibility to ensure that content you upload does not violate any laws or confidentiality obligations.
  4. No Attorney-Client Relationship: Your use of the Services does not create an attorney-client relationship between Legasus and you or between Legasus and your clients.

4. Subscription Plans and Payment

  1. Subscription Plans: We offer multiple subscription tiers, each with varying levels of features and pricing. By selecting a plan, you agree to pay the applicable subscription fee.
  2. Billing and Payment: Payment processing is handled through Stripe or another industry-standard payment processor. You must provide current and valid payment information.
  3. Automatic Renewal: Unless otherwise specified, your subscription will automatically renew at the end of the billing period for the same plan, at the then-current subscription rate. You can cancel auto-renewal at any time by adjusting your account settings or contacting us at contact@legasusai.com.
  4. Refunds: We offer refunds only within 30 days of the start of your subscription for any reason. After 30 days, refunds or credits will be provided solely at our discretion.

5. User Conduct and Obligations

  1. Lawful Use: You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, federal, and international laws.
  2. Prohibited Content: You shall not upload or share any content that:some text

    • Violates the intellectual property rights or privacy rights of any party;
    • Contains viruses, malware, or other harmful code.
  1. Data Confidentiality: You shall not disclose or share any sensitive data or case-related information with unauthorized parties. You acknowledge that any information within Legasus could be confidential or privileged, and you agree to protect such data accordingly.
  2. No Resale or Unauthorized Use: You shall not sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit the Services without our prior written consent.

6. No Attorney-Client Relationship; No Legal Advice

  1. Platform Only: Legasus is a software platform providing tools for case management. We are not a law firm, and our employees are not acting as your attorney. Nothing in these Services shall be construed as legal advice.
  2. User’s Responsibility: You are solely responsible for the accuracy and legality of any content you upload. You must independently verify any AI-generated or system-suggested information before relying on it for legal matters, filings, or client communications.

7. Disclaimers

  1. “As Is” and “As Available” Basis: The Services are provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. No Guarantee of Accuracy: We do not guarantee the accuracy, reliability, or suitability of any information, including AI-generated content, provided through the Services.
  3. HIPAA & Other Regulatory Compliance: While we strive to meet industry standards (e.g., HIPAA, SOC 2) for data security and privacy, it is ultimately your responsibility to ensure compliance with any regulatory requirements specific to your practice or jurisdiction.

8. Limitation of Liability

  1. Exclusion of Certain Damages: To the fullest extent permitted by applicable law, Legasus, its affiliates, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or other intangibles.
  2. Cap on Liability: In no event shall our total liability to you for all damages, losses, or causes of action exceed the fees you have paid to us in the twelve (12) months preceding the event giving rise to such liability.
  3. AI Outputs: You agree that Legasus is not responsible for the accuracy or completeness of AI-generated outputs or any harm resulting from reliance on such outputs.

9. Indemnification

You agree to indemnify, defend, and hold harmless Legasus, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with (i) your access to or use of the Services, (ii) your violation of any law or the rights of a third party, or (iii) your breach of these Terms.

10. Termination

  1. Termination by Legasus: We may, in our sole discretion, suspend or terminate your access to the Services at any time, without notice, for any reason, including but not limited to violation of these Terms, illegal activity, or misuse of the Services.
  2. Termination by You: You may stop using the Services at any time. If you wish to delete your account, you may do so by contacting contact@legasus.com.
  3. Data Retention: Upon termination, we will delete or anonymize your personal data, except to the extent that retention is required by law or necessary for our legitimate business interests.

11. Dispute Resolution

You agree that any dispute arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiations. If such dispute cannot be resolved amicably, the parties agree to resolve the dispute through confidential arbitration or other mutually agreed-upon alternative dispute resolution method, rather than through litigation in court, unless otherwise required by law. The arbitration shall take place in a mutually agreed-upon location or virtually, and the decision of the arbitrator shall be binding and enforceable in any court of competent jurisdiction.

12. Changes to These Terms

We may modify these Terms from time to time. When we do, we will provide notice by way of a popup within the application. You will be required to review and re-agree to the updated Terms before continuing to use our Services. Your continued use of the Services after the updated Terms are effective indicates your acceptance of the revised Terms.
